1. Introduction
These Terms of Service ("Terms") govern your access to and use of the ClickReport platform, dashboards, APIs, and related services (collectively, the "Services"). Please read them carefully. By creating an account, accessing, or using the Services, you agree to be bound by these Terms.
If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms. The words "ClickReport," "we," and "us" refer to ClickReport LLC.
2. Accounts and Eligibility
You must be at least 18 years old and able to form a legally binding contract to use the Services. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Promptly notify ClickReport of any unauthorized use or security incident.
We may suspend or terminate access if we believe your account has been compromised, if you violate these Terms, or if continued access presents a risk to the Services or other customers.
3. Subscriptions and Billing
Paid subscriptions renew automatically unless canceled in accordance with the cancellation procedures in your account. Unless otherwise specified in an order form, fees are billed in advance and are non-refundable except as required by law.
By submitting payment details, you authorize ClickReport and its payment processor to charge you for applicable fees. You are responsible for providing complete and accurate billing information and for all applicable taxes.
4. Acceptable Use
You agree not to misuse the Services. Prohibited conduct includes (but is not limited to) infringing the rights of others, reverse engineering or attempting to gain unauthorized access to the Services, interfering with normal operation, or using the Services to distribute malicious code.
You may submit feedback or suggestions, which we may use without obligation to you. You retain ownership of your content, but grant ClickReport a limited, non-exclusive license to process and display that content solely to provide the Services.
5. Data Protection and Privacy
We handle personal data in accordance with our Privacy Policy and applicable data protection laws. You are responsible for ensuring that your use of the Services complies with all laws and policies applicable to your business, including obtaining any required consents from your end users.
If we process personal data on your behalf, we act as a service provider. You must not send us sensitive personal information or payment card data beyond what is supported by our documented integrations.
6. PCI Scope Containment
Payment card information is handled exclusively by our PCI DSS-compliant payment processor. Cardholder data must not be transmitted to or stored on ClickReport systems. You agree not to attempt to capture, log, or store card numbers, security codes, or magnetic stripe data within the Services.
You must use the hosted payment elements provided by the payment processor. Any modification that routes card data through your infrastructure or our APIs is strictly prohibited and may result in immediate suspension.
7. Security and Incident Response
We implement administrative, technical, and physical safeguards designed to protect the Services. No system is perfectly secure. You must promptly notify us at security@clickreport.com if you suspect any security vulnerability or incident involving the Services or your account.
We may suspend access when necessary to protect the Services or comply with legal obligations. Where legally permitted, we will provide notice of incidents that materially affect your data.
8. Confidentiality
Each party may receive confidential information from the other. Confidential information includes business, technical, and security information disclosed in connection with the Services. The receiving party agrees to protect the other party’s confidential information using reasonable safeguards and to use it only for purposes permitted under these Terms.
Confidential information does not include information that becomes public through no fault of the receiving party, is independently developed, or is rightfully obtained from a third party without confidentiality obligations.
9. Disclaimers and Warranties
The Services are provided on an "as-is" and "as-available" basis. TO THE FULLEST EXTENT PERMITTED BY LAW, CLICKREPORT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
We do not warrant that the Services will be uninterrupted, error-free, or that they will meet your performance requirements. You are responsible for evaluating whether the Services are appropriate for your intended use.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, CLICKREPORT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES.
CLICKREPORT’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES IN ANY 12-MONTH PERIOD IS LIMITED TO THE AMOUNT PAID BY YOU FOR THE SERVICES DURING THAT PERIOD. These limitations do not apply where prohibited by law.
11. Indemnification
You agree to defend, indemnify, and hold harmless ClickReport and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services or violation of these Terms.
12. Termination
You may cancel paid subscriptions through the billing settings in your account. We may terminate or suspend access to the Services upon notice if you breach these Terms, fail to pay fees when due, or as required by law.
Upon termination, you must stop using the Services. Certain provisions (including confidentiality, limitations of liability, indemnification, and dispute resolution) will survive termination.
13. Changes to the Services or Terms
We may update the Services or these Terms from time to time. Material changes will be communicated through the Services or by email. By continuing to use the Services after changes become effective, you agree to the revised Terms.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles. The parties agree to resolve disputes in the state or federal courts located in Travis County, Texas, and consent to their jurisdiction.
Either party may seek injunctive relief in any competent court to prevent irreparable harm. Mandatory arbitration clauses are not included; you retain the right to pursue claims in court.
